Scary Microsoft Lawyers – Part 1

I had a few encounters with Microsoft lawyers that were, in a word, scary. But in a good way. Every time I worked with them, they were hardcore on following the law, and I greatly appreciated and respected that. 

Years ago, I was part of an acquisition team purchasing technology from another company. It was a long, exhausting process. Late one evening, we finally got the ball over the finish line and signed the documents. After the last signature, someone popped a bottle of champagne. There was cheering and handshaking. Spirits were very high. That lasted about one minute. The Microsoft lawyer in the room stood up and instructed all the Microsoft personnel to come with him. We filed into a separate conference room.

He offered congratulations on a successful negotiation. Then the mood shifted. He explained this was a material event that could affect the stock price of either company. It was imperative that we did not share this information with anyone. Not family. Not friends. No one. If anyone around us made trades based on this information, it was a crime. He was brutally clear about the consequences. “If we discover this happens, we will turn you in and fully cooperate in your criminal prosecution.”  Talk about generating clarity!
He asked if there were any questions. There were no questions. He smiled, told us to return to the celebration, and we walked back out.
He was so hardcore, it was scary. I loved it. They operated with absolute moral clarity. People will predictably bring up historical lawsuits to invalidate this reality. Let them. I was not in every room in Redmond, but in the trenches of shipping actual products, the lawyers I worked with always did the right thing and I have mad respect for them.
